1. SERVICES PROVIDED

We will set up and integrate the Estate Pro system online for you. This will incorporate your choice of website style , and all Estate Pro administration and research tools and functionality described in the features section of our website.

1a. The Estate Pro system can be set up remotely and an initial training session will be provided over the telephone. Further training can be provided at £300 per half day + travel expenses

Payment

Set-up fee + first month’s license fee will be collected by standing order commencing 7-10 days after installation of the Estate Pro system. The usual license fee will be collected on or near the same date each month thereafter

Cancellation of our standing order for any reason other than termination of contract with Legal and Financial will incur a penalty equivalent to £50.00 reinstatement fee and 3% above base rate per week on outstanding balances .

Standing Order commencement:

First collection will commence 7-10 days after installation of the Estate Pro system.

Invoicing:

For accounting purposes, invoices for your fees will be issued annually in advance after set up

Upgrades:

Upgrades will be offered to you from time to time, some of which will be free of charge, and some of which will be available at a supplementary cost. Details of costs will be provided when we inform you of the available upgrades

Changes to fees

We reserve the right to nominal increases in our fees upon giving you a minimum of 60 days' notice in writing. However, no increase will be sought within 12 months from the date of your first standing order payment.

Charges for additional work on your website

When specific requests are made for further customisation to your website, we will provide you with a quotation in advance. Subject to the size of the project we may request a deposit upon commencement of work, with balance payable on completion.

Balances are payable 7 days after completion of work. Late payment will incur a late payment fee of 3% above base rate per week on outstanding balances.

3. E-MAIL

We will assist with the configuration of emails for your staff

4. SEARCH ENGINES/DIRECTORIES

a. All relevant site pages include "meta tags" to assist in search engine listing, and these will be tailored by us to reflect the name, location and key features of your business.
b. Once completed, your site will initially be promoted to the major search engines/directories which provide free listings. Then, from time to time, your site will be re-submitted.

2a. Payment

5. DOMAIN NAME

a. We include free of charge the following domain registrations:

New .CO.UK domain registration for the first two years
New .COM/.NET/.ORG.BIZ for one year
Important Note on Domain Renewal: Your domain must be renewed at the end of its registration period. We will do this automatically for you and invoice you for the cost of the renewal. This is an essential process, as without a valid domain your website will not be visible.
We register domains in your own name and you will be the legal owner of the chosen domain

b. You will be responsible for payment of all subsequent renewal fees.
c. If you decide to transfer your domain to another service, any costs incurred by us will be recharged to you at cost plus a 10% administration fee.
d. If you already have a domain name you wish to use, we will assist in its transfer to our server as necessary. We will make no extra charge, but sometimes the registrar with which you have registered your domain may require a transfer fee, which is payable by your firm.

Please note: There is no reduction in the monthly administration fee if you already have your own domain name.

6. WEB HOSTING

a. Unless otherwise agreed, we will arrange for your website to be hosted on our commercial servers, and the cost of this service is covered in your monthly fee.
b. If you prefer to use your own hosting service, please let us know and we shall ask you for the information necessary in order for us to upload your site to the web. However, some hosting companies may not fully support the technical requirements of our websites; in this event, we may recommend the full use of our own hosting services, included in our monthly administration fee - there will be no extra charge to you.

Please note: There is no reduction in the monthly fee if you choose to use your own host.

Company's Liability

In no circumstances whatsoever will Legal & Financial (“the Company”) be liable for economic, indirect or consequential loss arising from delays or service interruptions

The Company will not be responsible for loss occasioned by computer viruses, whether introduced by the Company's software or otherwise, or unforeseen hardware problems which could affect continuity of service.

We The Company shall not be held liable for any loss or damage caused by the use, misuse, unavailability or removal of services

Whilst The Company shall expeditiously seek domain registration on behalf of clients, The Company shall not be liable in the event of the domain having been registered by some other company or person by the time The Company receives a confirmed order and domain name request from the client.

Your Privacy

To protect your privacy we conform with the requirements of the Data Protection Act, 1998, we will not distribute your name or e-mail address to any third party. We do send marketing support and important informational emails to our clients email addresses as part of our service however you may unsubscribe from this service at any time.

7. AMENDING, UPGRADING AND FURTHER CUSTOMISING YOUR SITE

a. We will make or add, at no charge:
• changes to contact details
• essential updates
• articles or information provided by you for inclusion on the "News & Updates" page, provided these are supplied to us complete and in electronic format
b. Other additions or customisation will be charged for on a time basis, but we will agree costs and payment terms with you before carrying out the work. Your site can be upgraded at any time in the future to include:
• Additional pages
• New graphics
• Specific links to other sites

8. COMPLIANCE

a. Your firm is responsible at all times for ensuring that the site, and any changes to it, are compliant.
b. Your firm is responsible for keeping a copy of your site, and details of all changes to it, for compliance purposes. We will normally retain only a copy of the most current version of your site.

ANTICIPATED TURNAROUND TIME ON ALL REQUESTED PROJECTS WILL BE ADVISED ONCE INSTRUCTIONS HAVE BEEN RECEIVED.

9. CONTENT PROVIDED BY THIRD PARTIES

Your website will contain information, and may link to services, provided by third parties. We will accept no liability for any losses or damages incurred by you or your clients from the use or non-availability of such content.

10. YOUR RIGHT TO CANCEL

You may cancel this arrangement at any time after a minimum period of 12 months, by providing us with one month's notice in writing.

11. COPYRIGHT

The content of the WebSas system, including the system, text and images, unless provided by you or a third party, is the property of Legal & Financial. If you cease to use our service you may not use any part of the system or site (except that provided by you or a third party) on any other website.

Any site modifications, textual or graphics, will be arranged on request, and in some circumstances may be chargeable. We do not allow access to our sites to external parties. Any work you commission for your site by external suppliers must be submitted to us for approval and submission to your compliance department prior to uploading to the web.

6. WEB HOSTING

a. Unless otherwise agreed, we will arrange for your website to be hosted on our commercial servers, and the cost of this service is covered in your monthly fee.
b. Should you not wish for us to administer your domain or email then we will only require the web area of your domain to point to our commercial servers in order to maintain and support the Estate Pro system

Company's Liability
